TERMS AND CONDITIONS
1. General Provisions
1.1. These Rules, Terms and Conditions as may be amended from time to time (hereinafter the Terms), regulate your access or use of our applications, websites, tools, platforms and/or other devices, (IziPass service, as defined below), provided by ООО "ХАЙПАСС" directly or indirectly (via distributors, subagents and other persons).
1.2. Being granted the access, by reviewing and using IziPass Service via our website or any other application or ours or otherwise and/or by booking, you confirm and agree that you have read and understood these Terms and you agree to comply with them. If you do not agree with these Terms, you cannot get access or use the IziPass Service.
1.3. The following definitions are applied in these Terms:
- You / user(s) – a person or persons, booking Airport Services via the IziPass Service.
- IziPass Service – is an online booking system (izipass.ru, websites, applications, tools, platforms and/or other devices), via which users may book airport Services.
- Airport Services are various services provided by the airport (e.g., VIP services, business lounge, Fast-track and similar airport Services) or any other services, provided by the Services Providers, which you may book via the IziPass Service.
- Service Provider(s) is an Airport Services provider.
- Information about Airport Services is the conditions of Services Providers to comply with when booking, providing, annulling or cancelling the booked Airport Service, refusing from the provision or from receiving the booked Airport Service, refunds, and these conditions are to be read and complied with by users.
- ООО "ХАЙПАСС" is a limited liability company, incorporated in the Russian Federation, OGRN code 1195081015800, administering the IziPass service.
- Booking code is the unique bar / alphanumeric / QR code, which confirms user’s booking of the Airport Services via the IziPass service and provides the user with the right to be rendered the Airport Service according to the conditions of the booking.
- Payment operator is a payment service of banks and/or financial institutions, provided to facilitate online settlements between individuals, legal entities and/or individual entrepreneurs using personal computers and/or other mobile devices, through which users pay for the Airport Services.
1.4. These Terms apply only when booking Airport Services, rendered by Service Providers in the Russian Federation.
1.5. IziPass service is accessible for personal and non-commercial use only and is designed only for persons above 18 years old. Using the IziPass service, you confirm and warrant that you use the IziPass service for personal and non-commercial use, and that you are 18 years old or over.
2. Airport Services booking
2.1. Only registered IziPass service users may book Airport Services, for which they need to provide reliable requested personal data (e.g.: full name, phone number and electronic mail). During the user’s registration in the IziPass service each user creates a personal account.
2.2. You admit and agree that any person whom you have allowed to use your user’s personal account or whom you have provided your account data in the IziPass service (login and password) may get access and use the IziPass service on your behalf, and that you will take full responsibility for any actions (including Airport Services booking and payments), performed by this person.
2.3. Having booked via the IziPass service, the user is in direct (legally binding) contractual relations with the Provider, whose Services he or she has booked. ООО "ХАЙПАСС" acts only as an agent between the User and the Services Provider, communicating user’s booking conditions to the respective Provider, sending the user the booking confirmation (booking code) on behalf of the Services Provider, and ensures the payment settlement (via a payment operator) to pay for the Airport Services. You agree and fully admit that under no circumstances ООО "ХАЙПАСС" is the other party to such Airport Services contract by and between you and the Services Providers.
2.4. The rules of booking and providing airport services are published in the IziPass service in the information on the Airport Services. If you do not agree to the rules of booking and Airport Services provision, you must not book the Airport Services.
2.5. Any information on the Airport Services, provided by or published on the IziPass service regarding the Airport Services, is provided or published by the relevant Services Provider. The Provider is fully and personally responsible for the correctness and update of the information on the Airport Services, including but not limited to: the update of all prices, availability of Airport Services, conditions of booking cancelation, Provider’s refusal to render Services, User’s refusal to accept Services, refunds policy and other information on the Airport Services, available for booking in the IziPass service. ООО "ХАЙПАСС" does not guarantee and cannot guarantee that the Information on services, published by Providers in the IziPass service is accurate, complete or correct. ООО "ХАЙПАСС" is not liable for checking information on the Services, published by the Services Providers in the IziPass service.
2.6. Any information, displayed in the IziPass service, is not and must not be considered as a recommendation or approval of ООО "ХАЙПАСС" (as an administrator of the IziPass service) of any Provider or any Airport Services.
2.7. To complete booking you need to pay the full price of the Airport Services.
2.8. While booking, you confirm that you have read and unconditionally accept the rules of booking and providing airport services, the conditions of cancellations and refusals, the refund policy of the Services Provider you selected.
2.9. While booking, you also agree to receive additional information about the booked Airport Services and also information on our special offers and other promotional messages by electronic mail (according to our Confidentiality policy).
3. Airport Services Price and Payment Procedure
3.1. Unless otherwise provided, all prices for Airport Services indicated in the IziPass service, include VAT and all other applicable taxes.
3.2. Automatic currency converter, available at the IziPass service, is for your information only; the actual exchange rate may differ. You admit and agree that Services Provider and/or ООО "ХАЙПАСС" may, at its discretion, round the amount payable to the Services Providers up or down in the currency of the price denomination.
3.3. Users do not pay any extra duties or other payments (to Services Providers or ООО "ХАЙПАСС"), besides the price of the booked Airport Services.
3.4. The payment for booked Airport Services is made on terms of full prepayment, effected while booking. Airport Services booking cannot be completed before full payment for the Airport Services.
3.5. ООО "ХАЙПАСС" on behalf and at the expense of the Providers ensures the opportunity for the users to pay for the Airport Services booked via IziPass service using the payment operator, engaged by ООО "ХАЙПАСС".
3.6. Users may pay for the booked Airport Services with bank plastic cards. While booking each user must provide reliable and correct payment details of the bank plastic card to the payment operator servicing the settlements of booked Airport Services. You admit that ООО "ХАЙПАСС" does not collect and store payment data (including bank card information), and that in this respect general terms and conditions of the Payment operator will be applied, as well as its Confidentiality policy. Financial information will be used only to make payments for booked Airport Services. You confirm and warrant that you will provide the Payment operator correct personal data and payment details. You recognize and agree that (for avoidance of doubt, in addition to these Terms) any payments fort the booked Airport Services may be regulated by additional conditions (as well as the confidentiality policy), established by the Payment operator.
4. Booking confirmation
4.1. Within 25 hours after the completion of booking via the IziPass service you will receive a notification (to the electronic mail address indicated by you) of whether your booking has been confirmed by the Services Provider, if so, you will be given a unique booking code.
5. Rules of cancelations and refusals. Refund policy.
5.1. Using the IziPass service you confirm and agree that even after the confirmation of the Airport Services booking the Services Providers reserve the right to cancel the booking or refuse to render the booked Airport Service (hereinafter the Cancellations and Refusals).
5.2. In addition, you are entitled to cancel your Service booking or refuse to accept it.
5.3. Each Airport Services Provider individually sets the rules of cancellations and refusals, including:
- The terms of booking cancellation on the initiative of the Services Provider
- The terms of booking cancellation on the initiative of the User
- The terms of the Services Provider refusal to render Airport Services
- The terms of the User refusal to accept Airport Services
- Refund policy in case of cancellations and refusals
The above terms of cancellations and refusals, and also the refund policy are specified in the information of the Airport Services, placed by Providers.
5.4. In case of cancelling booked Airport Services on the initiative of the Provider, you will be immediately notified thereof to electronic mail address, indicated by you in your booking.
5.5. You are entitled to have the terms of the cancellations and refusals applied to you, and also the refund policy, valid at the time of your Airport Service booking.
5.6. A request for the booking cancellation on the User’s initiative is to be submitted by the user from his or her account.
6. Airport Services provided
6.1. To have the booked Airport Services provided the user must present the Services Provider with the booking code and other confirming data or documents (e.g., passport, a flight ticket) according to the requirements of each Provider, placed ion the information on the Airport Services.
7. Disclaimer
7.1. ООО "ХАЙПАСС" IS NOT LIABLE TO THE USERS OR THIRD PERSONS FOR THE PROVISION OF AIRPORT SERVICES (INCLUDING, INTER ALIA, THEIR QUALITY, COMPLIANCE WITH SPECIFICATION, OR ANY CANCELLATI0ONS OR REFUSALS). THE SERVICES PROVIDERS ARE FULLY LIABLE FOR THE PERFORMANCE OF OBLIGATIONS RELATED TO THE AIRPORT SERVICES. ANY CLAIMS OR COMPLAINTS REGARDING AIRPORT SERVICES MAY BE SUBMITTED TO SERVICES PROVIDERS ONLY.
7.2. According to the restrictions, laid out in these Terms, in the cases specified by law, ООО "ХАЙПАСС" is liable only for the direct losses, caused, paid or incurred by users due to the improper performance of our obligations, laid out in these Terms. In any case, our liability (for a single event or a series of related events) is limited to the total amount of your booking, indicated in the electronic confirmation, received by the user according to paragraph 4.1 of these Terms.
7.3. ООО "ХАЙПАСС" is not liable for any damage (direct loss, lost profits), payment of any penalty (fines or other sanctions), any other losses or expenses, incurred or paid by you, caused by or die to the use, impossibility of use or the delay in the IziPass service operations. ООО "ХАЙПАСС" also disclaims any liability for (i) inaccuracies, related to the information about the Airport Services, caused by the Services Providers in the IziPass service and (ii) the Services rendered by these Providers. ООО "ХАЙПАСС" is not liable for any interruptions in the IziPass service operations (e.g., due to technical faults, repairs, modernization or upgrading of the IziPass service or due to any other reason).
7.4. ООО "ХАЙПАСС" also disclaims any liability for any errors (including obvious and printing ones), as well as any inaccurate, misleading or incorrect information (incompleteness or failure to provide the information). Each Services Provider is responsible for the accuracy, completeness and correctness of the information of the Airport Services (including the information on prices and Airport Services availability), published in the IziPass service, as well as any other information published or provided to be published in the IziPass service. Evident errors in the IziPass service do not entail any legal consequences.
7.5. Any claims or complaints as to the IziPass service or any Airport service, action or event, which ООО "ХАЙПАСС" may be responsible for, must be submitted promptly, within 1 (one) month after the date of the event or the action, which is the basis for the claim or complaint. Any claim or complaint, submitted upon the expiry of 1 (one) month, may be rejected, and its applicant loses the right to any compensation or indemnification. 7.6. ООО "ХАЙПАСС" may at any time decide to terminate the IziPass service operations with no prior notification of its users. ООО "ХАЙПАСС" does not guarantee that the IziPass service can operate on the user’s equipment and software. ООО "ХАЙПАСС" does not undertake to provide its services in case of interruptions in its technical infrastructure, software, servers or crashes in the technical infrastructure, software or network resources of third persons, provided the IziPass service operations depend on them, or in case of errors or failures in their own servers.
8. Applicable Law
8.1. These Terms are interpreted in accordance with the laws of the Russian Federation in force. Any disputes, arising out of these Terms, will be settled in the courts of the Russian Federation. In case of any discrepancies in understanding translations hereof, the Russian version will prevail.
8.2. This version of the Terms becomes effective on 01 April 2019.
